Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of SoftTechIQ ("SoftTechIQ") websites, including softtechiq.com, our cloud platform at app.softtechiq.com, and related SaaS products, custom software, IoT/RFID solutions, and API services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.
Definitions
- Platform — SoftTechIQ's cloud software, dashboards, APIs, and connected device management systems
- Customer — an organization or individual that subscribes to or purchases SoftTechIQ Services
- User — any person authorized by a Customer to access the Platform (administrators, staff, etc.)
- Customer Data — data uploaded, generated, or processed by a Customer or its Users through the Services
- Content — text, files, records, and other materials submitted to or displayed through the Services
Description of Services
SoftTechIQ provides:
- Enterprise SaaS modules including RFID Attendance, School ERP, HRM, Payroll, Inventory, and Device Cloud API
- RFID hardware integration and IoT automation solutions
- Custom software development and API platform engineering
- Technical support, onboarding, and professional services as agreed in your contract
Specific features, limits, and availability depend on your subscription plan or signed agreement.
Eligibility & Accounts
You must be at least 18 years old and authorized to bind your organization to these Terms. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us immediately at support@softtechiq.com if you suspect unauthorized access.
Subscriptions, Pricing & Payment
SoftTechIQ offers custom and enterprise pricing based on organization size, modules selected, and deployment scope. Fees, billing cycles, and payment terms are specified in your proposal, order form, or service agreement. Taxes and applicable duties are the Customer's responsibility unless otherwise stated.
Refund and cancellation terms are specified in your proposal, order form, or signed service agreement.
Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, or fraudulent purposes
- Attempt to gain unauthorized access to systems, accounts, or data
- Reverse engineer, decompile, or copy the Platform except as permitted by law
- Interfere with or disrupt the Services, including through excessive API requests or automated abuse
- Upload malware, infringing content, or data you do not have the right to process
- Resell or sublicense the Services without SoftTechIQ's written consent
We may suspend or terminate access for violations of these Terms or to protect the security and integrity of the Platform.
Customer Data
Customers retain ownership of Customer Data. By using the Services, you grant SoftTechIQ a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Services, as described in our Privacy Policy.
Customers are responsible for ensuring they have appropriate legal basis and consent to collect and process personal information of their employees, students, members, or other individuals (including guardian notifications and SMS alerts where configured).
Intellectual Property
SoftTechIQ and its licensors own all rights in the Platform, software, documentation, trademarks, and proprietary technology. Customers own their Customer Data. For custom software projects, ownership of deliverables is defined in the applicable project agreement.
You may not use SoftTechIQ branding or materials without prior written permission, except as necessary to use the Services as intended.
Service Availability
We strive to maintain commercially reasonable uptime and performance for the Platform. Scheduled maintenance, emergency updates, and factors outside our reasonable control may cause temporary interruptions. Where a 99.9% uptime SLA is included in your contract, its terms govern service credits and remedies.
Support
Technical support for existing customers is available during Bangladesh Standard Time (BST, UTC+6) business hours: Sunday through Thursday, 9:00 AM – 6:00 PM; Saturday, 10:00 AM – 4:00 PM; closed Fridays. Contact support@softtechiq.com for support and sales inquiries.
Confidentiality
Each party agrees to protect the other's non-public confidential information and use it only for purposes related to the Services. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party.
Warranties Disclaimer
The Services are provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. SoftTechIQ disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
Limitation of Liability
To the maximum extent permitted by law, SoftTechIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from or related to the Services.
SoftTechIQ's total aggregate liability for claims arising under these Terms shall not exceed the fees paid by the Customer to SoftTechIQ for the Services in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (USD $100) if no fees were paid, whichever is greater.
Indemnification
You agree to indemnify and hold harmless SoftTechIQ from claims, damages, and expenses arising from your misuse of the Services, violation of these Terms, or unlawful processing of personal information through your account.
Termination
Either party may terminate a subscription according to the terms of the applicable agreement. You may cancel with thirty (30) days written notice as specified in your signed service agreement. Upon termination, access to the Platform may be disabled and Customer Data may be deleted after any agreed export period, unless retention is required by law.
Governing Law
These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh, unless otherwise specified in a signed service agreement.
Changes to Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when changes were last published. Material changes will be posted on this page. Continued use of the Services after changes constitutes acceptance of the updated Terms.
